By accessing and using Shortlist, you agree to comply with these Terms of Service ("Terms"). If you do not agree, you may not use the Service. We reserve the right to modify these Terms at any time.

2. Service Description

Shortlist is a SaaS platform that helps job candidates tailor resumes to job descriptions and optimize content for ATS systems. The Service includes resume scoring, gap analysis, candidate interviews, resume rewriting, and document export.

3. User Eligibility

  • You must be at least 13 years old (or the age of digital consent in your jurisdiction)
  • You may not use the Service if prohibited by law or sanctions regulations
  • You are responsible for maintaining the confidentiality of your login credentials

4. User Responsibilities

You agree to:

  • Provide accurate and complete account information
  • Use the Service only for lawful purposes
  • Not violate intellectual property, privacy, or other rights
  • Not reverse-engineer, decompile, or attempt to access the Service's underlying technology
  • Not transmit malware, viruses, or malicious code
  • Not spam, harass, or threaten other users
  • Not upload content you don't own or have permission to use

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of resumes and documents you upload. By uploading, you grant Shortlist a license to use this content solely to provide the Service.

5.2 Our Content

All Service features, software, design, and trademarks are owned by Shortlist and protected by law. You may not reproduce or distribute without permission.

6. Acceptable Use Policy

Prohibited activities include:

  • Using the Service for unlawful purposes or fraud
  • Impersonating others
  • Harassing, defaming, or threatening users
  • Uploading illegal, offensive, or infringing content
  • Attempting to gain unauthorized access
  • Scraping or automated data collection beyond permitted API usage

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • Shortlist is provided "AS IS" without warranties of any kind
  • We do not guarantee uninterrupted, error-free, or secure service
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • Our total liability shall not exceed the fees you paid in the past 12 months (or $100, whichever is greater)

8. Disclaimer of Warranties

Shortlist disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your expectations or achieve specific results.

9. Indemnification

You agree to indemnify, defend, and hold harmless Shortlist from any claims, damages, or costs arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Your content

10. Termination

We may terminate or suspend your account immediately, without notice, for:

  • Violation of these Terms
  • Illegal activity
  • Abuse of the Service
  • Non-payment (for paid plans)

Upon termination, your access ceases, but we may retain data as required by law.

11. Payment Terms

  • Subscription fees are billed according to your chosen plan
  • Refunds are not available except as required by law
  • We reserve the right to change pricing with 30 days' notice
  • Free trial terms apply as stated during signup

12. Third-Party Services

Shortlist uses third-party services (Google OAuth, Supabase, etc.). Your use is also subject to their terms and privacy policies. We are not responsible for their conduct or services.

13. Dispute Resolution

  • Governing Law: These Terms are governed by applicable laws
  • Informal Resolution: We encourage you to contact us first to resolve disputes
  • Arbitration: Disputes shall be resolved through binding arbitration where applicable
  • Exceptions: IP infringement and injunctive relief claims may proceed in court

14. Severability

If any provision is deemed invalid, the remaining provisions continue in effect.
